Torq Tribe End User Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, A BINDING ARBITRATION CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE OF DISPUTES, AND A CLASS ACTION WAIVER.
Torq Tribe does not provide medical, fitness, or healthcare advice. The workout plans, exercises, and AI-generated advice provided by this application are for informational and planning purposes only. You participate in exercise activities entirely at your own risk. You should consult a qualified and licensed medical professional prior to beginning or modifying any diet or exercise program.
1. Contractual Relationship
These Terms of Use ("Terms") govern the access or use by you, an individual, from within the United States and its territories and possessions, or any other country or territory worldwide, of applications, websites, content, products, and services (the "Services") made available by Torq Tribe ("we", "us", or "our").
Your access and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and Torq Tribe. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you. We may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.
2. The Services & AI-Generated Content
The Services constitute a technology platform that utilizes artificial intelligence (AI) to provide workout routines, habit tracking, and fitness motivation based on your fitness history and profile data.
- Nature of AI: You acknowledge that AI systems (such as the Torq companion) can occasionally produce incorrect, inappropriate, or unsafe advice. You are responsible for using your best judgment and ensuring activities are safe for your body when following any AI-generated plan.
- Processing: AI features may be processed locally on your device or remotely in the cloud. By using these features, you consent to the processing of your inputs to generate responses.
- Assumption of Risk: TO THE EXTENT THAT TORQ TRIBE PROPOSES WORKOUT ROUTINES OR PHYSICAL TRAINING INTENDED TO BE PERSONALIZED TO YOUR FITNESS GOALS, YOU AGREE THAT FOLLOWING, ADOPTING OR EXECUTING SUCH ROUTINES IS ENTIRELY AT YOUR OWN RISK.
3. License & Restrictions
License Grant
Subject to your compliance with these Terms, Torq Tribe grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, noncommercial use.
Restrictions
You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by us; (iii) decompile, reverse engineer or disassemble the Services; (iv) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services (including our AI prompts and models) or unduly burdening or hindering the operation of the Services; or (v) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
4. Ownership & Intellectual Property
The Services and all rights therein are and shall remain Torq Tribe's property. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner Torq Tribe's name, logos, product and service names, characters (including "Torq"), trademarks or services marks.
5. Subscriptions, Payments & Billing
Torq Tribe requires payment of a fee for use of premium features of the Services and you agree to pay such fees. We offer auto-renewing subscriptions (e.g., monthly and annual plans).
- Billing via App Store: All payments are processed via your Apple App Store account. Your payment will be charged to your App Store account at confirmation of purchase.
- Automatic Renewal: BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE RECURRING NON-REFUNDABLE PAYMENTS. Your subscription will automatically renew unless canceled at least 24 hours before the end of the current period.
- Cancellation: You can manage and cancel your subscription anytime in your Apple ID account settings. If you cancel, your right to use the premium Services will continue until the end of your then-current subscription period and will then terminate without further charges.
- Refunds: All payments are processed exclusively by Apple and are subject to their refund policies. Torq Tribe cannot process or issue refunds directly. Upon cancellation, you will not receive a prorated refund of any portion of the subscription fee paid for the current period.
- Trials: If you sign up for a free trial, you will be automatically charged at the end of the trial period unless you cancel at least 24 hours in advance.
6. User Requirements and Conduct
The Service is not available for use by persons under the age of 13. You must be at least 13 years old to use this App. If you are between the ages of 13 and 18, you must have your parent or guardian's permission to use the Services. You are responsible for maintaining the security of your account credentials.
You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes. You will not in your use of the Services cause nuisance, annoyance, inconvenience, or property damage.
7. Disclaimers; Limitation of Liability; Indemnity

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TORQ TRIBE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TORQ TRIBE MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.
Limitation of Liability
TORQ TRIBE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The physical activities to which the Services relate carry inherent risks including personal injury. You acknowledge that you undertake such activities entirely at your own risk. Our maximum aggregate liability under or in connection with these Terms whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to the amount you paid for the Services in the last twelve (12) months.
Indemnity
You agree to indemnify and hold Torq Tribe and its affiliates, officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the Services; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party.
8. Dispute Resolution & Arbitration
Arbitration Agreement: You agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration between you and Torq Tribe, except that each party retains the right to bring an individual action in small claims court. You acknowledge and agree that you and Torq Tribe are each waiving the right to a trial by jury or to participate as a plaintiff or class in any purported class action or representative proceeding.
9. Other Provisions
Choice of Law: These Terms are governed by and construed in accordance with the laws of the State in which Torq Tribe's primary business operations are located, without giving effect to any conflict of law principles.
Changes to Terms: We may amend the Terms related to the Services from time to time. Amendments will be effective upon posting of such updated Terms. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms, as amended.
